ByLaws*

An HOA, which is generally set up as a non-profit corporation, is an organization established to manage a private, planned community. Like other corporations, the HOA is governed by a board of directors (who are elected by the members) and a set of rules called bylaws.

The bylaws govern how the HOA operates and contain the information needed to run the HOA as a business. For example, the bylaws cover matters such as:

  • how often the HOA holds meetings
  • how the meetings are conducted
  • the duties of the various offices of the board of directors
  • how many people are on the board, and
  • membership voting rights.

Bylaws do not include matters of member property use or improvement, building regulations, etc. and do not require a member vote to adopt changes. Changes are typically made to bylaws to manage HOA business in accordance with state laws adopted since the last recording of the bylaws, eradicate any content in conflict with other HOA governing documents, and to incorporate HOA management “best practices.”

In fiscal year 2014, the 2008 Hidden Cove Owners Association ByLaws were reviewed by legal counsel and recommendations were proposed to align the HCOA ByLaws with the most up-t0-date “best practices” and verbiage common to HOA ByLaws in use as of 2014. The changes to the ByLaws helped to correct, streamline, and better align the information with the other governing documents of the HCOA (i.e., Building Regulations and CC&Rs).

The Board of Trustees approved the changes proposed on August 27, 2014 and the updated ByLaws document was recorded with the Summit County Recorder’s office on September 4, 2014.
